NO FEE, PAYMENT, OR PURCHASE NECESSARY. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

These official rules (“Official Rules”) apply to the “Name the Chaise Sweepstakes” (the “Sweepstakes”) sponsored by W.S. Badcock Corporation (“Sponsor”), a Florida Corporation. This Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with Facebook or Instagram.

1. Eligibility: Sweepstakes are offered only to legal residents of Florida, Georgia, Alabama, Mississippi, South Carolina, North Carolina, Tennessee, and Virginia that are at least 18 years of age. Sponsor and its parents and affiliate and subsidiary companies and Dealers and owners of a Badcock Home Furniture &more® Dealership and the employees, officers, directors, members, immediately family (spouse, mother, father, sister, brother, daughter, or son, regardless of where they live) or members of their same households (whether related or not) of such aforementioned entities and individuals are not eligible. By entering, you agree to these Official Rules and the decisions of the Sponsor, which are final and binding in all respects.

2. Promotion Period: The Promotion Period begins on Tuesday, November 21, 2023 at 12:01 a.m. E.S.T. and ends on Monday, December 11, 2023 at 11:59 p.m. E.S.T. Entries will be accepted on a rolling basis throughout the entire Promotion Period. Winners will be selected from Eligible Entries within seven (7) to ten (10) days of the end of the Promotion Period.

3. Entry: To enter the Sweepstakes, you must access the internet and your computer or phone must accept cookies or any successor or similar technology (now known or hereafter devised or discovered) which may be used by Sponsor for the purposes of entry tracking. During the Promotion Period, visit any Badcock Home Furniture &more location during business hours, try out the Bankers Hill mattress and receive a single use code to use to enter the Sweepstakes for a chance to win. The access code can be entered for a chance to win by accessing the Sponsor website by scanning the QR code provided by the store and following all of the instructions on the website. You will need to complete all required fields in the entry form including, but not limited to, your full name, e-mail address, mobile number, and zip code, and when prompted, (a) “opt-in” to Sponsor’s e-mail database and agree to receive e-mails from Sponsor, and (b) optionally “opt-in” to Sponsor’s SMS database and agree to receive SMS and MMS messages from Sponsor account. Any use of robotic, automatic, macro, programmed or like entry methods will void all such entries by such methods. Any attempt by any participant to obtain additional entries beyond the limit by using multiple/different e-mail addresses, identities, registrations and logins, or any other methods will void that entrant’s entries and that entrant may be disqualified. In the case of a dispute of the owner of an online entry, the authorized account holder of the e-mail address and mobile number used to register will be deemed to be the entrant. The “authorized account holder” is (a) the natural person assigned to an e-mail address by an Internet access provider, online service provide, Internet service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address and (b) the natural person assigned to a mobile phone number by a wireless phone carrier. Potential Winners may be required to show proof of being the authorized account holder. All entries submitted in accordance with these Official Rules are referred to in these Official Rules as “Eligible Entries.”

4. Prizes: During the Promotion Period, eligible participants will be able to enter to win one (1) grand prize or one (1) first prize. The following are descriptions of the prizes: One (1) Grand Prize: 2023 Ford F-1 XLT Pickup, approximate value: $57,235.82, and One (1) First Prize: choice of queen size Sealy Bankers Hill flat mattress set, approximate value: $1,399.95 or king size Sealy Bankers Hill flat mattress set, approximate value: $1,729.92. Subject to additional terms and conditions set forth below in the section entitled “Prize Terms and Restrictions”.

5. Prize Winner Drawing and Notification. Within seven (7) to ten (10) days after the end of the Promotion Period, Sponsor will randomly select one (1) potential Grand Prize Winner and one (1) potential First Prize Winner from among all Eligible Entries received during the Promotion Period. The drawing will take place at Sponsor’s headquarters as set forth below. Winners need not be present to win. Sponsor will attempt to contact the potential prize Winners using the email addresses provided by the entrants as part of the entry process. Except where prohibited, the potential Winners may be required to sign and return to the Sponsor, within five (5) days of being notified, an Affidavit of Eligibility, Liability & Publicity Release, in order to claim their prizes. If the potential prize Winners cannot be contacted or do not respond within forty-eight (48) hours of attempted notification or return a signed Affidavit of Eligibility and Publicity/Liability Release within five (5) days after confirmation and acceptance of notification by chosen Winners, that potential prize Winner will be disqualified and an alternate winner will be selected. Sponsor is not responsible for failed attempts to notify any potential prize Winner or for any e-mail or other correspondence returned as undeliverable without a forwarding address or any other problems, omissions, or technical malfunctions associated with any network, servers, computer equipment, software, applications, or the Internet.

6. Odds of Winning: Odds of winning the drawing depends on the number of eligible entries received for the drawing.

7. Prize Terms and Restrictions: Sponsor shall make arrangements with Winners to award and deliver and/or pick up the prizes up at a time and location of the Sponsor’s sole choosing. Prize fulfillment for the Grand Prize will take place in Bartow, Florida, or elsewhere in the United States, as determined by Sponsor in its sole discretion. Grand Prize Winner acknowledges that he/she must provide proof of automobile insurance and a valid driver's license in order to receive the Grand Prize. The value of the prizes will be taxable to the Winners as income. Sales tax on the Grand Prize, along with tag and title, will be paid by Sponsor. All other federal, state, local and municipal taxes, fees, sales tax and any other costs and expenses associated with the acceptance and/or use of the prizes not specifically provided for in these Official Rules are solely the Winners’ responsibility. Winners are solely responsible for reporting and paying any and all applicable taxes. Prize Winners may be required to provide Sponsor with their social security number and will receive an IRS Form 1099 for the value of the Prizes as required by IRS rules and a copy of said form will be sent to the IRS. Please contact your own tax advisor for any questions concerning taxes. The prizes cannot be substituted, assigned, transferred, or redeemed for cash. Only the prizes stated in these Official Rules is available to be won in the Sweepstakes. Winners must comply with all terms and conditions of these Official Rules in order to claim the prizes.

8. Rights. WHERE PERMITTED BY LAW, EACH WINNER AGREES TO GRANT TO SPONSOR AND ITS LICENSEES, AFFILIATES AND ASSIGNS, THE RIGHT TO PRINT, PUBLISH, BROADCAST AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, THE WINNER’S NAME, PORTRAIT, PICTURE, VOICE, LIKENESS AND BIOGRAPHICAL INFORMATION AS NEWS OR INFORMATION AND FOR ADVERTISING AND PROMOTIONAL PURPOSES WITHOUT ADDITIONAL CONSIDERATION; AND FURTHER WITHOUT SUCH ADDITIONAL COMPENSATION, APPEAR FOR, OR PROVIDE BIOGRAPHICAL INFORMATION FOR USE IN, ANY PRESENTATION OR OTHER ACTIVITY WHICH MAY INCLUDE FILMING/AUDIO/VIDEO/ELECTRONIC OR OTHER RECORDINGS AND/OR INTERVIEWS, AS MAY BE DETERMINED FROM TIME TO TIME BY SPONSOR. Failure to make such appearances or grant such rights may result in disqualification with an alternate winner or potential winner selected; and while not obligated to do so, Sponsor may in its sole discretion, bear such reasonable costs and expenses which Sponsor, in its sole discretion, deems appropriate for the winner or potential winner to appear for a presentation or other activity. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or Sponsor’s website; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Sponsor will prosecute any fraudulent activities to the full extent of the law.

9. Limitations of Liability. ((a) Sponsor is not responsible for any incorrect or inaccurate information, whether caused by users of Sponsor’s website, or tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the website; (b) Sponsor is not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the website. If, for any reason, the Sweepstakes is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Sponsor, could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes; and (c) IN NO EVENT WILL SPONSOR, ITS LICENSEES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF SPONSOR’S WEBSITE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SPONSOR’S WEBSITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON SPONSOR’S WEBSITE IS PROVIDED “AS-IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

10. Release and Indemnification. Each entrant agrees to release, defend and hold harmless Sponsor, its licensees, and their respective parents, affiliates, subsidiaries, advertising and promotional agencies and their respective directors, officers, employees, representatives and agents (“Released Parties”) from any and all liability for claims, causes of actions, personal injuries, including death, and property damage, arising out of or related to, in whole or in part, directly or indirectly, participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, possession, receipt, use or misuse of a prize, including but not limited to, publicity rights, defamation, invasion of privacy, intellectual property, proprietary or other property rights of any party or any related cause of action. Furthermore, each entrant shall indemnify and hold harmless the Released Parties from any and all claims, liability, actions, suits, debts, dues, contracts, controversies, agreements, direct or consequential damages, judgments, executions, and demands whatsoever, in law or equity, whether known or unknown, foreseen or unforeseen, resulting or arising from or in connection with the Sweepstakes. Released Parties are not responsible for any inability of any winner to accept or use the prize (or any portion thereof) for any reason.

11. Disputes. As a condition of participating in this Sweepstakes, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connection with the Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in Polk County and State of Florida having competent jurisdiction, which court shall apply the laws of the State of Florida without regard for principles of conflicts of law. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and waives all rights to claim punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with entering the Sweepstakes), and participant further waives all rights to have damages multiplied or increased.

12. Winner’s List. For the name of the Grand Prize Winner and First Prize Winner, mail a self-addressed stamped envelope to be received no later than January 31, 2024 to Sponsor at P.O. Box 497 Mulberry, Florida 33860, Attention: “Winners List for 2023 Ride in Comfort Sleep in Comfort Sweepstakes”.
